Important - Acceptance of Terms
Welcome to KALENDS, provided to you by Reuters Limited (Reuters). Reuters
provides this service to you subject to the following Terms and Conditions, which may be updated by Reuters from time to time. At any time, you can review the current version of the Terms and Conditions for changes by clicking on Terms and Conditions on the home page of KALENDS. You should read these Terms and Conditions carefully as your use of KALENDS is subject to them. Please also print off and retain a paper copy of these Terms and Conditions for your future reference. For the definitions of certain expressions in capital letters used in these Terms and Conditions, please see Section 10 of the Terms and Conditions below. Separate terms and conditions apply to participation in a KALENDS Select Free Trial.

1. Our responsibilities
We will:
i. use reasonable efforts to provide you with email support in relation to the
Service on receiving an email from you addressed to support@kalends.com
requesting such support; and
ii. provide you with any documentation you need to use the Service.

2. Your responsibilities
You must:
i. read all notices displayed on the home page of the Web Site and when you
register to use any part of the Service (including any privacy notices and these
Terms and Conditions) as your use of the Service is subject to them;
ii. accurately fill out any required registration details and inform us without
delay by email to support@kalends.com of any changes to your details from
time to time;
iii. where you are provided with a password, keep your password secure and tell us immediately by email if you think someone else has access to your password or the Service when they should not. We may change your password if we need to for security reasons;
iv. access and use the Service in accordance with these Terms & Conditions;
v. obtain prior permission from anyone whose personal data you wish to input into, communicate to others via or otherwise use in connection with the Service and you must ensure that you keep any such personal data secure at all times;
If 'you' are a company, business or other organisation, the reference to 'you'
or 'your' in these Terms & Conditions are also, where relevant, references to your Permitted Users (whether one or all of them). It is your responsibility to ensure, and you agree that you are liable for, your Permitted Users' compliance with these Terms and Conditions. You agree that:
a. the Reuters Group and other information and software suppliers have intellectual property rights in the Service or its contents, including the Information and the Software;
b. others such as information and software suppliers may benefit from these
Terms and Conditions and may have the right to enjoy the protection of and
enforce them; and
c. you will comply with any notices in the Service bringing any intellectual
property rights in the Service to your attention and with any restrictions or conditions we or other suppliers impose from time to time on your access to and use of the Service in order to protect our or those others' legitimate interests. You agree that, if necessary, we may introduce such conditions or restrictions without notice. You acknowledge that any infringement by you of our, or another's, rights in any part of the Service may result in legal action against you.

3. Use of the Service
You may not:
i. store or archive the Information, except on a temporary basis so that you can read and delete it later;
ii. tell anyone or let anyone else use your password (if provided), or let or help
anyone obtain unregistered access to any part of the Service, including the information;
iii. distribute the Service (or any part of the Service, including the Information) to other persons, devices or equipment;
iv. copy any part of the Software;
v. copy the Information other than when downloading and viewing it for the first
time for your own use;
vi. edit or change the Information in the Service or modify, make derivative
works from, reverse engineer, decompile or otherwise disassemble the Software;
vii. remove, conceal or amend any copyright, trademark or other proprietary
notice incorporated in the Service; or
viii. use the Service, or do anything in relation to the Service, in breach of any applicable laws, codes of practice or market conventions or otherwise misuse
any part of the Service. In particular, you must not obtain any unauthorised access to others' technology, illegally copy or distribute Information or other material contained in the Service or introduce any computer virus or take any similarly disruptive action through or in relation to the Service, nor may you use the Service in any way which may cause nuisance to others. In addition, you may not allow or help anyone else to do any of the things described above. Reuters may, if reasonable, require you to prove you are complying with this paragraph.


4. Changes by Reuters to the Service or the Terms and Conditions
Reuters may change some or all of these Terms and Conditions by telling you at least 7 days in advance unless such advance notice is not possible because, for example, we are required to make the changes by law, a regulator or a supplier. The most up to date version of the Terms and Conditions will be available on the home page of the Web Site so that you can check them from time to time when you wish. We may also make technical or functional changes to the Service, changes to the format or the style of the Service or changes to the amount or nature of Information available through it. We will use reasonable efforts to notify you in advance of such changes to the Service unless they are minor in nature or unless such notice is not possible because, for example, we are required to make the changes by law, a regulator or a supplier.

5. Matters beyond Reuters control
You agree that the Reuters Group is not liable for any failure to provide all or part of the Service for any period of time because of matters beyond its reasonable control. In particular, Reuters does not control others' telecommunications networks, technology or the Internet (which is publicly accessible and liable to delays and failures) nor does it control the acts of some third parties. REUTERS THEREFORE CANNOT GUARANTEE RECEIPT OF ALL THE INFORMATION REQUESTED, NOR THE SPEED OF DELIVERY OR TIMING OF RECEIPT OF IT. AT THE TIME OF RECEIPT BY YOU, INFORMATION MAY BE OUT OF DATE.

6. Liability
YOU AGREE THAT THE REUTERS GROUP:
i. IS LIABLE ONLY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR
NEGLIGENCE AND ANY OTHER DIRECT LOSS OR DAMAGE CAUSED BY OUR GROSS NEGLIGENCE OR OUR WILFUL MISCONDUCT. OTHERWISE, AS FAR AS IS PERMITTED BY LAW, WE MAKE NO WARRANTIES OR REPRESENTATIONS CONCERNING THE SERVICE AND NEITHER WE NOR OUR DATA OR SOFTWARE PROVIDERS SHALL BE LIABLE TO YOU FOR ANY CLAIMS, DAMAGES, COSTS, LOSSES OR EXPENSES ARISING OUT OF OR OTHERWISE CONNECTED WITH YOUR USE OF THE SERVICE, INCLUDING ANY ACTION TAKEN OR DECISION MADE BY YOU IN RELIANCE ON THE INFORMATION CONTAINED IN THE SERVICE;
ii. IS NOT RESPONSIBLE OR LIABLE FOR ANY THIRD PARTY PROMOTIONS CONTAINED IN THE SERVICE NOR FOR ANY MATERIAL ON WEB SITES OPERATED BY PERSONS OTHER THAN US TO WHICH YOU GAIN ACCESS THROUGH HYPERTEXT OR OTHER COMPUTER "LINKS" CONTAINED WITHIN THE SERVICE. THESE PROMOTIONS AND LINKS ARE PROVIDED TO YOU FOR YOUR REFERENCE AND CONVENIENCE ONLY, AND THEIR INCLUSION BY US IN THE SERVICE DOES NOT CONSTITUTE AN AUTHORISATION BY US TO ACCESS, OR AN ENDORSEMENT BY US OF, ANY SUCH MATERIAL NOR AN ENDORSEMENT BY US OF ANY SUCH PROMOTIONS. NEITHER OF US IS LIABLE UNDER THESE TERMS AND CONDITIONS OR OTHERWISE FOR ANY INDIRECT LOSSES OR DAMAGE OR FOR LOSSES WHICH ARE NOT TYPICALLY FORSEEABLE WHICH WE, YOU OR OTHERS SUFFER IN RELATION TO THE SERVICE, SUCH AS LOSS OF PROFIT OR TRADING LOSSES. THIS EXCLUSION SHALL ALSO APPLY (IF REUTERS AGREES) TO THE BENEFITOF OTHERS INVOLVED IN THE SUPPLY OF THE SERVICE, SUCH AS SUPPLIERS OF INFORMATION AND SOFTWARE CONTAINED IN THE SERVICE;

You will compensate the Reuters Group for all claims, costs, damages and losses (including reasonable legal fees) arising out of your use of the Service in breach of any laws or these Terms and Conditions or out of any other misuse by you of the Service.


7. Data Protection/Privacy
You agree that:
i. the Reuters Group may use, in accordance with the Privacy Notice displayed on the Web Site, any personal data of yours that you supply to us when you register to use certain parts of the Service, or when you subsequently use, the Service; and
ii. if you obtain personal data from the Service about any individual, you may
only use that personal data for those purposes to which that individual has
previously consented.


8. Suspension of the Service
Reuters may suspend or limit access to the Service or part of it without penalty,
if and for so long as any of the following apply:
i. you are in breach of these Terms and Conditions, for example you are misusing the Information or Software;
ii. this is necessary to carry out essential technical maintenance in relation to the Service or the relevant network or to protect networks and/or other users from interference, loss or damage. We will seek to keep such interruptions to a minimum and will give you as much advance notice as is practicable;
iii. the law, a supplier or a regulator requires this, or we reasonably believe they might require this, for example because certain Information may be in use in breach of copyright law or may be defamatory or misleading. As far as is practicable, we will tell you why we have suspended the Service in each case.


9. Cancelling the Service
At any time, and in our sole discretion, we may cancel, temporarily or permanently, your password (if provided) and/or your use of all or part of the Service as follows:
i. for any reason (including if we decide to discontinue all or part of the Service) by giving you at least 7 days' notice;
ii. immediately if we believe you have breached these Terms and Conditions in a serious way and, if you are able, do not correct that breach within 24 hours of us asking you to, or if we are unable to provide the Service to you due to causes beyond our control; You also agree that we will not be liable to you or any other person for any cancellation of your access to the Service.

10. Definitions
The meaning of terms used in capital letters in these Terms and Conditions
are the following:
Information
The information provided by us as part of the Service, including text, data,
sound recordings, still or moving images and graphics available on the
Web Site.
Permitted Users
(For companies, businesses or other organisations only) Employees or other
staff under your control who have completed any registration details and/or
user consent forms in relation to the Service.
Reuters
Reuters Limited, an English company with the number 145516 whose address
is at 85 Fleet Street, London EC4P 4AJ.
Reuters Group
Reuters and its direct and indirect subsidiaries from time to time, a subsidiary
being any company in which another has a 50% or more interest.
Service
The Kalends service, comprising information on the KALENDS products and
an overview of the upcoming business events.
Software
The computer programmes included in, and which enable you to use, the
Service as recorded in machine readable, object code form.
Web Site
The Kalends Web Site, currently at: www.kalends.com
You/Your
Means the person (other than Reuters) entering into this Agreement. In the case of companies/organisations it also includes one or more of their
Permitted Users.
Privacy / Data protection policy
General
Reuters and its affiliates ("the Reuters Group") respect your privacy and seek to protect your personal data. We hope that the following information will show you how we gather, use and protect your personal data. More details about the way we use data in a particular Reuters Group service may be found in a notice which is provided to you as part of that service or by contacting the web address below. We aim to ensure that the processing of personal data by or on behalf of the Reuters Group is fair and reasonable and that your personal data is secure, accurate and up to date. Generally speaking, this means that each time we want to collect personal data we must tell you the purposes for which we use the data and then ask for your consent to that usage. We only use your data for the purposes for which you consent. We also tell you if we transfer your data to anyone else. Because Reuters services and the Reuters Group are international, personal data may be made available internationally, including in countries which do not have data protection laws or laws which provide equivalent protection to the European rules. Information Reuters collects and why
The Reuters Group collects information about our users, suppliers and other
individuals it deals with in its day to day business. This information includes contact, registration and payment details, information about the way registered users use our services as well as details of individuals' interests. This information is used for administration, to support, improve and obtain feedback on Reuters Group services and to prevent and detect breaches of Reuters network security, the law or our contract terms.
We may also in the future, for the same purposes, update this information and
collect similar information from any direct contact we have with individuals and automatically via individuals' use of Reuters Group services. Where allowed by law Reuters may collate information we obtain directly from individuals with information we receive about them from others. All the information described above may be retained and used by the Reuters Group after an individual ceases to use Reuters Group services or otherwise ceases dealing with.
The Reuters Group will also use all this information to assess what Reuters Group services may be of interest to individuals and to personalise the
service we provide.
If you have registered to use one of our services, Reuters may contact you to
obtain feedback on that service and any improvements we could make to it.
Before you register you can browse our web sites anonymously.
Further information / marketing
If you agree, the Reuters Group may contact you from time to time by mail, fax,
email and (in certain limited circumstances) by telephone about those of its services it believes may interest you and, in some circumstances, to invite you to client entertainment or similar events. You have a right to ask us at any time not to contact you by way of direct marketing and the law often allows you to write and ask to see and correct the information held about you, sometimes on payment of a fee.
Transfer of data to third parties
Except where the law permits or unless you agree, the Reuters Group does not
sell or rent your personal data to others outside the Reuters Group. In some
instances, we may pass information to third parties involved in the relevant
Reuters service (such as stock exchanges, which supply data to us). You will generally know if such a transfer of your information happens, except if the third parties are simply working on our behalf as administrators (such as companies that process credit card payments) or if the data is required to be disclosed by law or to a regulator.
If we sell a business division to another company and your personal data is used by that business then your data may be transferred to the buyer along with the business for them to use in the same way.
Material you post on interactive forums or chatrooms will be available to others
using or considering using the Service.
If your employer subscribed for the service on your behalf, then we may pass
certain information to your employer about your use of the service where your employer has a legitimate reason to receive it.
Credit checks
If you are an individual user contracting in your own name for a fee-paying
service, Reuters may in some instances for some fee paying products carry
out credit checks on you with credit reference agencies or we may follow up
references. The fact that Reuters has carried out such a credit check, and in some instances the nature or results of the credit check, will appear on the agency's register. In many countries you can obtain a copy of your register entry by writing to the relevant credit reference agency, sometimes on
payment of a fee.
Cookies
A "cookie" is a piece of software, which may be sent to your computer. Cookies enable us to collect information about how our websites and services are being used and to manage them efficiently. If we send a cookie to your computer, it
will not collect information specifically about you unless we have told you what
personal information we are collecting and obtained your consent to do so.
Until then, the cookie will only track general usage patterns and will not be
used to identify you individually.
